Terms of Service

These Terms of Service ("Terms") govern your access to and use of YouGenOne (the "Service"), operated by Stanislav Sorokoletov, an Individual Entrepreneur registered in Georgia ("YouGenOne", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of majority in your country of residence (whichever is higher), to use the Service. By using YouGenOne, you represent that you meet this requirement and that you have the legal capacity to enter into a binding agreement. The Service is not directed at children, and we do not knowingly accept users under 18.

2. Description of Service

YouGenOne is a software-as-a-service platform that uses artificial intelligence to generate video content for YouTube and other platforms, including:

• Long-form videos (3–15 minutes) with AI-generated scenes, voiceover, subtitles, music, and thumbnails
• Short-form videos (vertical, ~50 seconds) optimized for YouTube Shorts, TikTok, and Reels
• Thumbnail generation with AI imagery and editable text
• Scene editing with the ability to regenerate individual scenes prior to final rendering

The Service is offered as a web application, with a desktop application available to users on the VIP plan. Specific features, models, and capabilities may evolve over time; we may add, remove, or modify features at our reasonable discretion.

Estimated duration of generated videos. Any duration shown in the Service interface (for example, "~5 min", "~30 sec", "5–30+ min", or any minute/second value associated with a plan, preset, or pricing tier) is an estimate provided for planning purposes only. The actual duration of a generated video may differ from the estimate — either longer or, more commonly, shorter — and may also vary between generations from the same input.

This is because video generation relies on third-party AI models and services (image and video generators, neural voice synthesis, and others) whose internal behaviour is outside our control. Factors that affect actual duration include, without limitation:

• speech pace and pronunciation of the selected neural voice and the chosen voiceover language;
• per-scene length limits imposed by external video models (some models generate clips of fixed maximum length, e.g. 5–8 seconds per clip);
• the length of the AI-generated script and the time it takes to narrate;
• changes in the behaviour of upstream AI providers, which may occur without prior notice.

We use reasonable efforts to approximate the estimated duration but do not guarantee that the actual duration will match the estimate. By purchasing credits and generating content, you acknowledge and accept this risk. A deviation between the estimated and actual duration does not constitute defective performance, does not entitle you to a refund, and is not a basis for any claim against us, except where a refund is expressly required under our Refund Policy or by mandatory consumer protection law.

We are not liable for changes in third-party AI model behaviour, including changes in per-clip length, narration speed, output resolution, or temporary outages of external AI providers.

3. Account Registration & License Keys

Upon successful payment, we issue you a license key in the format PRO-XXXX-XXXX-XXXX bound to the email address you provided at checkout. You are responsible for:

• Keeping your license key confidential
• Ensuring the email address provided is accurate and accessible to you
• All activity that occurs under your license key

License keys are personal and non-transferable. Sharing or reselling keys is grounds for termination without refund. To change the email address associated with your license key, contact support@yougenone.io from the original address.

4. Plans & Credits

YouGenOne operates on a credit-based model. Each plan is a one-time purchase of a credit pack valid for a defined term (currently 30 days from the date of purchase). At this time, plans do not auto-renew: each renewal requires a new, voluntary purchase. We may introduce subscription billing for new purchases in the future, in which case any auto-renewal will be subject to clear, separate consent at the point of purchase and will not apply retroactively to plans bought before such change.

Current plans:

• Free — limited trial credits
• Starter — 4,900 credits, 30-day term
• Creator — 10,400 credits, 30-day term
• Studio — 22,000 credits, 30-day term
• VIP — high-tier credit pack with personal support and access to our desktop application

Current pricing is published at our pricing page and may be updated. The price displayed at checkout is binding for that purchase.

Credits are consumed when you generate content. The cost per generation depends on duration, the AI model selected, and additional features (video scenes, music, multilingual translation, and so on).

Credit validity. Unused credits remain available while your plan is active. After the end of your most recent plan term, unused credits are retained for a 30-day grace period, during which you may purchase a new plan to continue using them. Credits not consumed within the grace period expire and cannot be reinstated.

5. Payment Terms

Card payments and Merchant of Record. Card payments are processed by a Merchant of Record (currently Lemon Squeezy and/or Paddle, as we may select), which acts as the seller of record for your purchase. The Merchant of Record is responsible for collecting and remitting any applicable consumption taxes (VAT, GST, sales tax) in your jurisdiction. The price displayed at checkout is the final price including any such taxes. Payment data for card transactions is handled by the Merchant of Record under their own terms and privacy policy.

Cryptocurrency payments. Cryptocurrency payments are processed through Heleket. For cryptocurrency transactions, YouGenOne is the seller of record, and the price displayed at checkout is the amount charged. Where currency conversion is required, the conversion is performed by the payment provider at their applicable rate.

Other regional providers. We may engage additional regional payment providers from time to time. The applicable provider, and whether YouGenOne or the provider is the seller of record, will be disclosed at checkout.

We do not store your full payment card information. By submitting payment, you authorize the relevant provider to charge the price displayed at checkout, plus any applicable taxes.

You are responsible for any taxes, duties, or fees imposed by your jurisdiction that are not collected at checkout.

Conflicts. Where a Merchant of Record processes your payment, their terms and privacy policy apply to payment processing, billing, refunds, and tax compliance, in addition to these Terms. In the event of a conflict regarding the payment transaction itself, the Merchant of Record's terms prevail to the extent of that conflict.

6. EU/UK Consumer Rights

This section applies if you reside in the European Union, the European Economic Area, or the United Kingdom.

Right of withdrawal. Under the EU Consumer Rights Directive (2011/83/EU) and the UK Consumer Contracts Regulations 2013, you have a 14-day right to withdraw from a purchase of digital content or digital services without giving any reason.

Express consent and waiver. YouGenOne is a digital service supplied immediately upon purchase. By purchasing a plan and beginning to use the Service (consuming any credits), you (a) expressly consent to immediate performance and (b) acknowledge that you lose your right of withdrawal once the Service has begun, as permitted by Article 16(m) of the Consumer Rights Directive and Regulation 37(1) of the UK Consumer Contracts Regulations 2013. If you do not consume any credits within the 14-day period, your right of withdrawal is preserved and you may exercise it under our Refund Policy.

Statutory rights. Where applicable consumer law provides statutory rights or warranties for digital services that we cannot waive, those rights apply notwithstanding the disclaimers and limitations in these Terms.

Online dispute resolution. EU consumers may submit complaints through the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr.

7. Ownership of Generated Content & License of Inputs

Your Output. You own the rights to videos, images, audio, and other content generated through your use of the Service ("Output"), to the extent such rights are available under applicable law. You may use Output for commercial and non-commercial purposes. We retain no claim to your Output beyond what is required to deliver the Service.

License to us. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and modify your prompts, uploaded materials, and other inputs ("Inputs") solely to the extent necessary to provide the Service to you and to comply with applicable law. This includes transmitting Inputs to our AI providers under their commercial terms, as described in our Privacy Policy. This license terminates when we delete the Inputs in accordance with our retention policy.

Your responsibilities for Output. You are solely responsible for ensuring that your Output complies with applicable laws and the policies of any platform on which you publish (YouTube, TikTok, etc.).

Your responsibilities for Inputs. You are responsible for the legality of and rights to your Inputs, including any uploaded images or voice samples. Where your Inputs depict identifiable individuals, you must hold the necessary consents — see Section 6 of our Privacy Policy regarding biometric inputs.

Copyright eligibility. AI-generated content may not be eligible for copyright protection in some jurisdictions; you acknowledge this limitation, and we make no warranty as to the copyrightability of any Output.

8. User Responsibilities

You agree to:

• Use the Service in compliance with all applicable laws
• Not use the Service to generate prohibited content (see our Acceptable Use Policy)
• Not include personal data of third parties in your Inputs unless you have a lawful basis to do so
• Not upload images or voice samples of identifiable persons without the consents required by our Privacy Policy
• Not attempt to reverse-engineer, decompile, or interfere with the Service
• Not use automated systems to abuse credits, create multiple accounts to bypass limits, or otherwise circumvent the platform

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service is provided on a best-effort basis. We may perform maintenance, deploy updates, or temporarily suspend features without prior notice.

Subject to applicable consumer protection law and to our Refund Policy, we are not liable for losses arising from service interruptions. Where the Service is materially unavailable for an extended period (more than 72 consecutive hours) and this prevents you from using credits during that time, we may, at our discretion or upon request, issue equivalent credit refunds or, where appropriate, monetary refunds.

10. Termination & Appeals

We may suspend or terminate your access immediately, without refund, if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent activity, including chargebacks without prior contact
• Generate content that violates applicable law

You may stop using the Service at any time. Refund eligibility is governed by our Refund Policy.

Statement of reasons. Where we take enforcement action against your account or content, we will, where practicable, provide a brief statement of the reasons.

Appeals. You may appeal an enforcement decision by emailing support@yougenone.io within 30 days of the action, with the subject line "Appeal" and your license key. We aim to respond within 14 days. Users in the European Union retain the right to seek out-of-court dispute resolution under Article 21 of the EU Digital Services Act and to lodge complaints with their national Digital Services Coordinator or other competent authority.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement. AI-generated Output may contain errors, inaccuracies, or unexpected results, and you use it at your own risk.

Without limiting the foregoing, we do not warrant that the actual duration, resolution, frame rate, audio quality, or any other technical characteristic of generated videos will match the estimates or sample values shown in the Service interface. See Section 2 ("Estimated duration of generated videos") for further detail.

Nothing in this section affects statutory consumer rights or warranties granted to consumers by applicable law that cannot be waived.

12. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) USD 100.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data.

Carve-outs. Nothing in these Terms excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Gross negligence or intentional misconduct, where such liability cannot be excluded under applicable law
• Any other liability that cannot be excluded or limited under applicable law, including statutory consumer rights

13. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless YouGenOne, its operator, and affiliates from any third-party claims, damages, or expenses arising from:

• Your use of the Service in violation of these Terms or applicable law
• Your Output
• Your Inputs, including any breach of representations regarding consent for biometric inputs
• Your violation of any third-party rights, including intellectual property and privacy rights

This obligation does not apply to the extent prohibited by mandatory consumer protection law.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of Georgia. Any dispute will be resolved in the competent courts of Tbilisi, Georgia.

Where you are a consumer, mandatory consumer protection laws of your country of residence apply notwithstanding this clause, and you may bring proceedings before the courts of that country in addition to or instead of the courts of Tbilisi. EU consumers may also submit complaints through the European Commission's ODR platform at ec.europa.eu/consumers/odr.

15. General Provisions

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

Entire agreement. These Terms, together with our Privacy Policy, Refund Policy, and Acceptable Use Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on the same subject matter.

Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, civil unrest, government action, internet or infrastructure failures, cyberattacks, or actions of third-party providers.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to a successor in interest in connection with a merger, acquisition, or sale of substantially all assets, on the condition that the successor agrees to be bound by these Terms.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or of any other right.

Notices. We may provide notices to you by email to the address associated with your license key, or by posting on the Service. You may provide notices to us at support@yougenone.io.

16. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent changes. Material changes will be communicated by email or via a notice on the Service at least 30 days before they take effect. Continued use after changes take effect constitutes acceptance. If you do not agree with the updated Terms, you may stop using the Service.
